My practice has historically focused on transactional U.S. entity tax law, with a particular focus on cross-border issues (e.g., IPOs of ICBC and CCBC, spinoff of Discover from Morgan Stanley, sale of Godiva Chocolate by Campbell to Yildiz, dissolution of Sony/BMG, Alibaba/SoftBank Mandatory Exchangeable Trust). I have represented clients in front of the IRS to resolve tax controversy issues. I have also practiced in-house at Morgan Stanley for three years so I have a deep understanding of how large financial institutions work, are funded, and the tax issues they face. In recent years, my practice has grown to include trust and estates law, elder law, and start-up tax and advisory services.
